1. Introduction
Welcome to LatencyHawk. These Terms of Service ("Terms") govern your access to and use of the LatencyHawk platform, operated by Canopy Nexus Ltd ("we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. Service Description
LatencyHawk provides latency monitoring, API performance tracking, and related software-as-a-service (SaaS) tools. We may update, modify, or discontinue features of the service at any time.
3. Account Registration
To use certain features, you must create an account. You agree to provide accurate and complete information, maintain the security of your credentials, be at least 18 years old (or have parental/guardian consent), and notify us immediately of any unauthorized access. You are responsible for all activities under your account.
4. Free Trial
We may offer a free trial period providing full feature access. After the trial expires, a paid subscription is required to continue using the service. If you do not subscribe, your access will be terminated at the end of the trial period.
5. Subscription and Payment
Paid plans are available on monthly and annual billing cycles, billed in advance. All fees are non-refundable except as required by law. Subscriptions renew automatically unless cancelled before the renewal date. We will provide at least 30 days' notice of any price changes.
6. Cancellation and Refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months or years. You will retain access to the service through the end of your paid period.
7. Acceptable Use
You agree not to use the service for any illegal purpose, attempt to gain unauthorized access to systems, disrupt or interfere with the service, transmit malware or harmful code, reverse-engineer or decompile the service, or resell access without our written permission.
8. Intellectual Property
All rights, title, and interest in the service remain with Canopy Nexus Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the service in accordance with these Terms.
9. Data and Privacy
Your use of the service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the service, you consent to the practices described in the Privacy Policy.
10. Service Availability
While we strive to maintain high availability, we do not guarantee uninterrupted access to the service. We reserve the right to modify, suspend, or discontinue the service (or any part of it) with reasonable notice where possible.
11. Limitation of Liability
The service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, our total liability to you for any claims arising from or related to the service shall not exceed the amounts paid by you in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Canopy Nexus Ltd and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the service or violation of these Terms.
13. Termination
We may suspend or terminate your account immediately if you breach these Terms, without prior notice. Upon termination, your right to use the service ceases immediately.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the service. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
